Disclaimer & Risk Disclosures

Effective Date: August 14, 2026

This Disclaimer & Risk Disclosures Policy (“Disclaimer”) applies to the website operated by Capstone Metals (“Capstone Metals,” “Capstone,” “we,” “us,” or “our”), including capstonemetals.com, and to information, products, services, communications, and other materials made available through the website.

By accessing or using our website, purchasing products from us, or communicating with Capstone Metals regarding precious metals, you acknowledge that you have read, understood, and agreed to the disclosures contained in this Disclaimer.

This Disclaimer is intended to provide general information regarding the nature and risks associated with purchasing, owning, selling, and, where applicable, holding precious metals through a self-directed retirement account.

General Information Only

The information provided by Capstone Metals is for general informational and educational purposes only. Nothing contained on our website, in our communications, or in any other materials provided by Capstone Metals should be interpreted as individualized investment advice, financial advice, tax advice, legal advice, accounting advice, or a recommendation to purchase, sell, hold, or otherwise transact in any particular precious metal or other asset.

Capstone Metals does not evaluate your individual financial circumstances, investment objectives, income, net worth, liquidity needs, tax situation, retirement needs, risk tolerance, or other personal circumstances for the purpose of providing individualized investment advice.

Any information concerning precious metals, markets, economic conditions, historical prices, market trends, inflation, currency values, or other financial or economic matters is provided for general informational purposes and should not be relied upon as a prediction or guarantee of future results.

You are solely responsible for determining whether purchasing precious metals is appropriate for your circumstances.

Before making a purchase or making any financial decision involving precious metals, you should consider consulting with an appropriately qualified financial professional, investment adviser, attorney, accountant, or tax professional who can evaluate your individual circumstances.

Precious Metals Are Not Suitable for Everyone

Purchasing precious metals involves risk, and precious metals may not be appropriate for every person or investment objective.

The market price of gold, silver, platinum, palladium, and other precious metals can fluctuate substantially. The value of precious metals may increase or decrease based on numerous factors, including supply and demand, economic conditions, interest rates, inflation expectations, currency movements, geopolitical events, market sentiment, monetary policy, industrial demand, and other factors.

There is no assurance that the value of any precious metal will increase.

You may lose money when purchasing precious metals, and you may ultimately sell your precious metals for less than the amount you originally paid.

No Guarantee of Profit or Appreciation

Capstone Metals does not guarantee, represent, or promise that any precious metal will:

  • Increase in value;
  • Maintain its value;
  • Preserve purchasing power;
  • Protect against inflation;
  • Protect against economic downturns;
  • Outperform stocks, bonds, cash, real estate, or other investments;
  • Produce a profit;
  • Generate income; or
  • Achieve any particular investment objective.
  • Past performance, historical price movements, or historical market conditions are not guarantees or indications of future performance.

Any projections, forecasts, opinions, estimates, or statements concerning possible future precious-metals prices are inherently uncertain and should not be relied upon as guarantees of future results.

Precious Metals Generally Do Not Produce Income

Unlike certain traditional investments that may generate interest, dividends, or other forms of income, physical precious metals generally do not generate periodic income.

The economic return from owning physical precious metals generally depends upon changes in the value of the metal and the price at which the owner is ultimately able to sell the metal, taking into consideration applicable premiums, spreads, fees, transaction costs, and other expenses.

Market Price, Premiums, Spreads, and Transaction Costs

The price you pay for a precious-metal product may differ from the current spot or market price of the underlying metal.

The purchase price of a product may include a premium or markup associated with factors such as:

  • Manufacturing and fabrication;
  • Refining;
  • Minting;
  • Product availability;
  • Dealer operating costs;
  • Distribution and fulfillment;
  • Market demand;
  • Product type and size;
  • Collectibility or numismatic characteristics, where applicable; and
  • Other costs associated with bringing the product to market.

The price at which precious metals may be purchased from or sold to a dealer may also differ from the prevailing spot price.

The difference between a purchase price and a potential resale price may be referred to as a spread.

Because of premiums, spreads, transaction costs, and other expenses, the market price of a precious metal may need to increase before a customer is able to sell the metal for an amount equal to or greater than the customer’s original purchase price.

Customers should carefully review the applicable purchase price, product pricing, premiums, fees, and any applicable buyback or resale terms before completing a transaction.

Buyback and Resale Considerations

Capstone Metals may, subject to its then-current policies and applicable terms, offer to purchase certain precious metals from customers.

Any buyback price offered by Capstone Metals may differ from the original purchase price, the current retail price, the spot price, or the amount originally paid by the customer.

A previous purchase price does not establish or guarantee a future resale value.

Buyback availability, pricing, eligibility, minimum quantities, product requirements, payment methods, processing times, and other terms may vary by product and transaction.

Customers should obtain and review the applicable buyback terms before relying upon a potential future sale.

Market Volatility and Liquidity Risk

Precious-metal markets can experience periods of significant volatility.

Although physical precious metals are generally considered marketable assets, liquidity may vary depending upon the type, form, quantity, condition, market conditions, and demand for a particular product.

In certain market conditions, a customer may experience difficulty selling a particular product at the price or within the timeframe the customer desires.

Market disruptions, extraordinary demand, supply shortages, transportation issues, financial-market disruptions, or other circumstances may affect pricing, availability, delivery, or resale opportunities.

Product-Specific Risks

Different precious-metal products may have different characteristics and risks.

For example, bullion products, government-issued coins, privately minted rounds, collectible or numismatic products, and other specialty products may have different pricing structures, premiums, market demand, liquidity, and resale characteristics.

Customers should understand the product they are purchasing before completing a transaction.

Where applicable, product descriptions, specifications, pricing, premiums, availability, and other information should be reviewed carefully before placing an order.

No Financial, Investment, Tax, or Legal Advice

Capstone Metals is a precious-metals dealer and is not acting as your investment adviser, financial planner, attorney, accountant, or tax adviser merely by providing information about precious metals or facilitating the purchase or sale of precious-metal products.

Nothing communicated by Capstone Metals or its representatives should be interpreted as individualized advice regarding whether you should:

  • Purchase or sell securities;
  • Liquidate securities or other investments;
  • Transfer or roll over a retirement account;
  • Borrow money to purchase precious metals;
  • Change your investment allocation;
  • Purchase a particular precious-metal product;
  • Establish or modify a retirement account; or
  • Take any particular tax or legal action.

You should independently evaluate any financial decision and seek advice from appropriately licensed or qualified professionals when appropriate.

Retirement Accounts and Precious-Metals IRAs

Certain precious metals may be eligible for purchase through certain self-directed Individual Retirement Accounts (“IRAs”) or other qualified retirement arrangements, subject to applicable federal tax laws, Internal Revenue Code requirements, the rules of the applicable retirement plan, and the requirements of the IRA custodian or trustee.

Not all precious metals, coins, bars, or other products are necessarily eligible for purchase or ownership through an IRA.

Federal tax law imposes restrictions concerning collectibles held by IRAs and provides exceptions for certain qualifying coins and bullion meeting specified requirements. Qualifying IRA-owned precious metals generally must satisfy applicable statutory requirements and be held in accordance with the applicable IRA custody requirements.

Capstone Metals does not provide tax or legal advice concerning the establishment, funding, transfer, rollover, maintenance, distribution, or termination of an IRA.

Customers are responsible for determining, with the assistance of their own tax or legal professionals and the applicable IRA custodian or trustee, whether a particular transaction is permitted and appropriate for their circumstances.

Capstone Metals does not guarantee that any transaction will receive any particular tax treatment.

IRA Custody and Storage

Precious metals purchased for an IRA are subject to applicable IRS requirements and the rules and procedures of the applicable IRA custodian or trustee.

Customers should not assume that precious metals purchased for an IRA may be personally stored, kept at a private residence, placed in a personal safe, or otherwise taken into personal possession.

The IRS provides specific requirements concerning qualifying precious metals held by an IRA, including custody requirements.

Capstone Metals does not recommend, represent, or guarantee that home storage or personal possession of IRA-owned precious metals is permitted.

Customers should consult their IRA custodian or trustee and their independent tax or legal advisers regarding the applicable requirements before taking possession of or transferring any IRA-owned precious metals.

IRA Custodians and Third-Party Service Providers

Where Capstone Metals facilitates or assists with a precious-metals IRA transaction, the IRA may involve third-party service providers, including custodians, trustees, administrators, storage facilities, depositories, shipping providers, and other service providers.

Capstone Metals does not control the operations, policies, fees, financial condition, security procedures, processing times, or performance of independent third-party service providers.

Customers should independently review the terms, fees, policies, and disclosures applicable to any third-party service provider involved in a transaction.

No Recommendation to Liquidate Existing Investments

Capstone Metals does not recommend that customers liquidate, transfer, exchange, or otherwise dispose of stocks, bonds, mutual funds, exchange-traded funds, annuities, retirement investments, or other assets in order to purchase precious metals.

A decision to liquidate or transfer an existing investment may have financial, tax, legal, market, and other consequences.

Customers considering such a transaction should consult an appropriately qualified financial adviser and tax professional before taking action.

Diversification Does Not Eliminate Risk

Some investors use precious metals as one component of a diversified portfolio.

Diversification does not guarantee a profit or protect against loss.

The appropriate amount, if any, of precious metals in an individual’s overall financial assets depends upon that person’s individual circumstances, objectives, risk tolerance, time horizon, liquidity needs, and other considerations.

Capstone Metals does not determine or recommend an appropriate allocation of precious metals for any individual customer.

Economic and Inflation-Related Statements

Precious metals are sometimes described as a hedge against inflation, currency depreciation, financial instability, or other economic risks.

Such descriptions reflect general market commentary and historical observations and should not be interpreted as a guarantee that precious metals will protect against inflation, preserve purchasing power, increase in value during periods of economic uncertainty, or outperform other assets.

Economic conditions can affect precious metals in unpredictable ways.

Historical Information

Historical prices, charts, performance information, market data, and other historical information presented by Capstone Metals are provided for informational purposes only.

Historical performance does not guarantee future results.

Historical market conditions may not be representative of future market conditions.

Third-Party Information and Market Data

Capstone Metals may provide or reference information obtained from third-party sources, including market data providers, mints, refiners, financial publications, government agencies, industry organizations, or other sources.

Although Capstone Metals may attempt to use reliable sources, we do not guarantee that third-party information is complete, accurate, current, or error-free.

Market prices can change rapidly, and displayed pricing or market information may become outdated between updates.

Customers should confirm the applicable price and transaction terms before placing an order.

Website Information and Availability

Capstone Metals attempts to maintain accurate and current information on its website. However, errors, omissions, delays, inaccuracies, technical issues, and interruptions may occur.

Product availability, pricing, specifications, descriptions, images, market information, and other website content may change without notice.

Capstone Metals does not guarantee that the website or any information contained on the website will always be available, complete, accurate, current, or error-free.

Forward-Looking Statements

Any statements concerning future precious-metal prices, economic conditions, market trends, potential returns, anticipated events, or other future circumstances are forward-looking statements and are inherently uncertain.

Actual results may differ materially from any expectation, projection, estimate, or prediction.

Capstone Metals makes no guarantee concerning future market conditions or precious-metal prices.

No Guarantee Against Loss

Purchasing physical precious metals involves the risk of loss.

Customers may lose some or all of the amount paid for a particular product depending upon market conditions, purchase premiums, resale prices, transaction costs, and other circumstances.

Capstone Metals does not guarantee that a customer will recover the amount originally paid for any precious metal.

Security, Storage, and Physical Possession Risks

Physical precious metals are tangible assets and may be subject to risks associated with storage, transportation, theft, loss, damage, unauthorized access, or other physical hazards.

Customers who take physical possession of precious metals are responsible for determining appropriate storage, insurance, security, and handling arrangements.

Capstone Metals does not guarantee the security of precious metals after delivery to the customer or after the customer otherwise takes possession.

Shipping and Delivery Risks

Shipping and delivery are subject to the terms and conditions applicable to the particular transaction.

Delivery dates may be affected by payment processing, product availability, verification procedures, shipping carriers, weather, governmental actions, market conditions, or other circumstances beyond Capstone Metals’ reasonable control.

Customers should review the applicable shipping, delivery, insurance, and risk-of-loss provisions before completing a transaction.

Fraud and Unauthorized Transactions

Customers are responsible for protecting their account credentials, payment information, personal information, and other sensitive information.

Capstone Metals will not be responsible for losses resulting from unauthorized access or transactions to the extent caused by the customer’s failure to maintain appropriate security or comply with applicable account-security requirements.

Customers should promptly notify Capstone Metals if they believe their account or transaction information has been compromised.

Communications and Employee/Representative Statements

Information communicated by Capstone Metals employees, representatives, contractors, or other authorized personnel is subject to the policies and disclosures applicable to the transaction.

No employee or representative of Capstone Metals is authorized to guarantee future precious-metal prices, profits, appreciation, investment performance, or tax treatment.

Customers should request clarification of any statement that appears to constitute a guarantee or promise of future performance.

No Government or Regulatory Approval

Unless expressly stated otherwise in writing, Capstone Metals does not represent that its products, services, website, or business have been approved, endorsed, recommended, or guaranteed by the U.S. government, the Internal Revenue Service, the State of California, or any other governmental or regulatory agency.

Customers should not interpret any reference to government regulations, tax laws, retirement-account rules, mints, or government-issued coins as an endorsement of Capstone Metals or its products.

Taxes

Customers are solely responsible for determining and satisfying any federal, state, local, or other tax obligations associated with the purchase, ownership, sale, exchange, transfer, or distribution of precious metals.

Tax treatment may vary depending upon the type of transaction, the customer’s circumstances, the type of account involved, the nature of the product, and applicable law.

Capstone Metals does not provide tax advice and does not guarantee any particular tax treatment.

Customers should consult an appropriately qualified tax professional regarding their individual circumstances.

Legal Advice

Nothing on the Capstone Metals website or in communications from Capstone Metals constitutes legal advice.

Customers should consult an attorney regarding legal questions, contracts, estate planning, trusts, retirement accounts, asset ownership, business structures, or other legal matters.

No Fiduciary Relationship

Unless expressly agreed in a separate written agreement that specifically establishes such a relationship, Capstone Metals does not act as a fiduciary, investment adviser, financial planner, trustee, or other fiduciary professional for its customers.

The purchase or sale of precious metals from Capstone Metals does not, by itself, establish an advisory or fiduciary relationship.

Customer Responsibility

Customers are responsible for conducting their own due diligence before purchasing precious metals.

Before completing a transaction, customers should carefully consider:

The total purchase price;

The product being purchased;

Applicable premiums and fees;

The current market environment;

Potential resale considerations;

Potential tax consequences;

Storage and security considerations;

Liquidity needs;

Their individual financial circumstances; and

The risks associated with precious-metal ownership.

Customers should not purchase precious metals with funds they cannot afford to lose or with funds needed for near-term living expenses or other essential obligations.

No Exhaustive List of Risks

The risks described in this Disclaimer are not exhaustive.

Additional risks may arise from changes in economic conditions, markets, laws, regulations, taxes, technology, supply chains, geopolitical events, financial conditions, product availability, or other circumstances.

Customers should conduct their own research and seek professional advice where appropriate.
